Welcome to Serapin. These Terms and Conditions ("Terms") govern your access to and use of our services, including any software development, consulting, or other related services ("Services"). By accessing or using our Services, you agree to be bound by these Terms. Please read them carefully.

1. Acceptance of Terms

1.1 By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms.

1.2 If you do not agree to these Terms, you may not access or use our Services.

2. Service Overview

2.1 Serapis LLC provides software development and related services to clients.

2.2 Our Services may include but are not limited to software design, development, testing, maintenance, consulting, and project management.

3. Client Responsibilities

3.1 You are responsible for providing accurate and complete information necessary for the successful completion of the project.

3.2 You agree to cooperate with Serapis LLC by providing timely feedback, clarifications, and approvals as required.

3.3 You are responsible for ensuring the legality and compliance of the project requirements, including intellectual property rights and applicable laws and regulations.

4. Intellectual Property

4.1 Unless otherwise agreed in writing, all intellectual property rights, including copyrights and any associated source code, developed during the course of our Services, shall belong to Serapis LLC.

4.2 Upon full payment of the agreed fees, Serapis LLC grants you a non-exclusive, non-transferable license to use the deliverables solely for your internal business purposes.

5. Confidentiality

5.1 Serapis LLC and the client shall maintain the confidentiality of any proprietary or confidential information received during the course of the project.

5.2 Confidential information shall not be disclosed to any third party without prior written consent, except as required by law.

6. Fees and Payment Terms

6.1 You agree to pay Serapis LLC the agreed-upon fees for the Services provided.

6.2 Unless otherwise specified, all fees are exclusive of taxes, and you are responsible for any applicable taxes.

6.3 Payment terms, including due dates and acceptable payment methods, will be agreed upon in writing prior to the commencement of the project.

7. Limitation of Liability

7.1 Serapis LLC shall not be liable for any indirect, incidental, special, or consequential damages arising out of or relating to the Services provided.

7.2 In no event shall Serapis LLC's total liability exceed the total fees paid by you for the specific project.

8. Termination

8.1 Either party may terminate the Services upon written notice to the other party.

8.2 In the event of termination, you shall pay Serapis LLC for all services rendered up to the termination date.

8.3 Termination shall not relieve either party of any obligations accrued prior to the termination.

9. Governing Law and Dispute Resolution

9.1 These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming of the United States of America.

9.2 Any disputes arising out of or relating to these Terms shall be resolved through good faith negotiation between the parties.

9.3 If a dispute cannot be resolved through negotiation, it shall be submitted to binding arbitration in accordance with the rules of The American Arbitration Association in the State of Wyoming of the United States of America.

10. Miscellaneous

10.1 These Terms constitute the entire agreement between you and Serapis LLC regarding the Services and supersede any prior agreements or understandings.

10.2 Failure to enforce any provision of these Terms shall not constitute a waiver of such provision.

10.3 If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue to be valid and enforceable.
